MAMANEY ELECTRONIC WALLET FOR PROMISSORY NOTES

1. INTRODUCTION
These Terms and Conditions ("Terms") govern your access to and use of the Mamaney electronic wallet platform for promissory notes ("Mamaney," "we," "us," or "our"). Mamaney is operated by MB Delta analitika, company code 306278454, with its registered address at V. Nagevičiaus g. 3, Vilnius, Lithuania.
By accessing or using Mamaney, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.
These Terms constitute a legally binding agreement in accordance with Article 6.159 of the Civil Code of the Republic of Lithuania.
2. DEFINITIONS
● "Account": Your registered account on the Mamaney platform.
● "Consumer": A natural person who is acting for purposes outside their trade, business, craft, or profession as defined in Article 2(1) of Directive 2011/83/EU.
● "E-Promissory Note": An electronic promissory note created, transferred, or managed through Mamaney in accordance with applicable Lithuanian law on promissory notes, specifically the Law on Bills of Exchange and Promissory Notes of the Republic of Lithuania.
● "GDPR": Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data.
● "Endorsement": The transfer of a promissory note from one user to another in accordance with Articles 11-20 of the Law on Bills of Exchange and Promissory Notes.
● "KYC": Know Your Customer, the process of verifying the identity of users in accordance with the Law on the Prevention of Money Laundering and Terrorist Financing of the Republic of Lithuania.
● "Platform": The Mamaney website, application, and services.
● "Qualified E-Signature": An electronic signature that meets the requirements of Article 3(12) of Regulation (EU) No 910/2014 (eIDAS Regulation).
● "Set-off": The process of offsetting a credit promissory note against a debit promissory note in accordance with Articles 6.130-6.140 of the Civil Code of the Republic of Lithuania.
● "User": An individual or business entity that has registered for and uses Mamaney.
3. ELIGIBILITY AND ACCOUNT CREATION
3.1 Eligibility
To use Mamaney, you must be:
● A natural person who is at least 18 years old, or
● A legally established business entity registered in accordance with applicable laws
● Capable of forming a legally binding contract under the Civil Code of the Republic of Lithuania
● Not barred from using the services under applicable law
3.2 Registration and KYC Verification
● All users must complete our registration process and pass KYC verification in accordance with the Law on the Prevention of Money Laundering and Terrorist Financing of the Republic of Lithuania.
● You must provide accurate, current, and complete information during registration.
● You agree to maintain and promptly update your registration information as necessary.
● We reserve the right to reject any registration or suspend any account at our discretion.
● We will process your personal data in accordance with the GDPR and the Law on Legal Protection of Personal Data of the Republic of Lithuania.
3.3 Account Security
● You are responsible for maintaining the confidentiality of your account credentials.
● You must notify us immediately of any unauthorized use of your account.
● You are solely responsible for all activities that occur under your account.
● We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, in accordance with Article 32 of the GDPR.
4. MAMANEY SERVICES
4.1 E-Promissory Note Services
Mamaney provides the following services related to e-promissory notes:
1. Creation (Issuance): Users can create and issue e-promissory notes using templates and features provided by Mamaney in accordance with the Law on Bills of Exchange and Promissory Notes of the Republic of Lithuania.
2. Transfer (Endorsement): Users can transfer e-promissory notes to other users.
3. Payments: Users can initiate and receive payments for e-promissory notes.
4. Set-offs: Users can initiate and confirm set-offs of credit promissory notes against debit promissory notes.
5. Downloads: Users can download their e-promissory notes.
4.2 Service Limitations
● Mamaney facilitates the creation, transfer, and management of e-promissory notes but does not guarantee their payment or validity.
● Mamaney is not a bank, financial institution, or payment processor as defined by the Law on Banks of the Republic of Lithuania or Directive 2015/2366/EU (PSD2).
● Mamaney does not provide legal, financial, or investment advice as defined by the Law on Markets in Financial Instruments of the Republic of Lithuania or Directive 2014/65/EU (MiFID II).
5. FEES AND PAYMENTS
5.1 Service Fees
Mamaney charges the following fees for its services:
1. Creation (Issuance) Fee: €1.00 + 5% of the value of the promissory note
2. Transfer (Endorsement) Fee: €1.00 + 2% of the value of the promissory note
All fees include Value Added Tax (VAT) at the applicable rate in accordance with the Law on Value Added Tax of the Republic of Lithuania.
5.2 Payment Terms
● All fees are due at the time the service is provided.
● Fees are non-refundable unless required by applicable law.
● We reserve the right to change our fees by posting the changes on the Platform with 30 days' notice in accordance with Article 54(1) of Directive 2015/2366/EU (PSD2).
● For Consumers, price changes will not apply to services ordered before the price change takes effect, in accordance with Directive 2011/83/EU on Consumer Rights.
5.3 User-to-User Payments
● Payments between users for promissory notes are conducted directly between their respective accounts.
● Mamaney is not responsible for processing these payments or ensuring their completion.
● Users may offer payments to each other for set-off acceptance.
6. USER OBLIGATIONS
6.1 Compliance with Terms
You agree to use Mamaney in compliance with these Terms and all applicable laws and regulations, including but not limited to the Law on Bills of Exchange and Promissory Notes and the Law on the Prevention of Money Laundering and Terrorist Financing of the Republic of Lithuania.
6.2 Qualified E-Signature
All actions and records on Mamaney must be confirmed with your qualified e-signature in accordance with Regulation (EU) No 910/2014 (eIDAS Regulation).
6.3 Prohibited Activities
You agree not to:
● Use Mamaney for any illegal purpose or in violation of any local, state, national, or international law
● Infringe the rights of others or violate their privacy
● Interfere with, disrupt, or create an undue burden on Mamaney
● Attempt to bypass any security measures of the Platform
● Use the Platform to transmit viruses, malware, or other harmful code
● Engage in fraudulent activities or misrepresent information
● Use the services for money laundering, terrorist financing, or other financial crimes
7. PROMISSORY NOTES
7.1 Nature of Promissory Notes
● E-promissory notes created through Mamaney are legally binding instruments subject to the Law on Bills of Exchange and Promissory Notes of the Republic of Lithuania.
● Users are solely responsible for understanding the legal implications of creating, transferring, or accepting promissory notes.
● E-promissory notes issued through the Platform are considered to have the same legal force as traditional paper promissory notes when created with a qualified electronic signature in accordance with Article 25(2) of Regulation (EU) No 910/2014 (eIDAS Regulation).
7.2 Disclaimer of Liability
● Mamaney is not responsible for users' insolvency or any cases of non-payment of promissory notes.
● Mamaney does not guarantee the creditworthiness of any user or the collectability of any promissory note.
● Users accept all risks associated with the creation, transfer, and acceptance of promissory notes.
● Mamaney's liability is further limited as set forth in Section 10 of these Terms.
8. DATA USAGE AND PRIVACY
8.1 Data Collection and Use
● Users acknowledge and agree that Mamaney will collect and process their personal and financial data as described in our Privacy Policy, in accordance with the GDPR and the Law on Legal Protection of Personal Data of the Republic of Lithuania.
● Users specifically agree that Mamaney may use their data in its credit scoring model, subject to the provisions of Regulation (EU) 2016/679 (GDPR) and Directive 2008/48/EC on credit agreements for consumers, as implemented in Lithuanian law.
8.2 Marketing Communications
● Users agree that their email addresses may be used for marketing purposes, subject to the provisions of Directive 2002/58/EC (ePrivacy Directive) and the Law on Electronic Communications of the Republic of Lithuania.
● Users agree that their mobile phone numbers may be used for SMS marketing purposes, subject to the same legal provisions.
● Users may withdraw their consent at any time in accordance with Article 7(3) of the GDPR.
9. INTELLECTUAL PROPERTY
9.1 Ownership
● All content, features, and functionality of Mamaney, including but not limited to software, text, graphics, logos, and images, are owned by Mamaney or its licensors and are protected by intellectual property laws, including the Law on Copyright and Related Rights of the Republic of Lithuania and Directive 2001/29/EC.
9.2 Limited License
● We grant you a limited, non-exclusive, non-transferable, revocable license to use Mamaney for its intended purposes according to these Terms.
● You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our written consent, except as permitted by applicable copyright law.
10. LIMITATION OF LIABILITY
10.1 Disclaimer of Warranties
● Mamaney is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, to the extent permitted by applicable law.
● We do not warrant that Mamaney will be uninterrupted, timely, secure, or error-free.
● We do not warrant the accuracy, completeness, or reliability of any information provided through Mamaney.
● For Consumers, nothing in these Terms shall exclude or limit statutory warranties that cannot be excluded under applicable consumer protection laws, including the Civil Code of the Republic of Lithuania and Directive 2011/83/EU.
10.2 Limitation of Liability
● To the maximum extent permitted by applicable law, in no event will Mamaney, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, including but not limited to direct, indirect, special, incidental, consequential, or punitive damages, arising out of or in connection with your use of Mamaney.
● Our total liability for all claims related to Mamaney shall not exceed the greater of €100 or the amount you paid to Mamaney in the three months preceding the claim.
● For Consumers, nothing in these Terms shall exclude or limit our liability for:
○ Death or personal injury caused by our negligence
○ Fraud or fraudulent misrepresentation
○ Any breach of the obligations implied by the Civil Code of the Republic of Lithuania
○ Any other liability that cannot be excluded or limited under applicable law
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Mamaney, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of Mamaney, to the extent permitted by applicable law.
12. TERM AND TERMINATION
12.1 Term
These Terms shall remain in full force and effect while you use Mamaney.
12.2 Termination
● We may terminate or suspend your account and access to Mamaney immediately, without prior notice or liability, for any reason, including if you breach these Terms.
● You may terminate your account at any time by contacting us at info@mamaney.com.
● For Consumers, the right of withdrawal under Directive 2011/83/EU is available within 14 days from the conclusion of the contract, except for services that have been fully
performed or where performance has begun with the Consumer's explicit consent and acknowledgment that the right of withdrawal would be lost.
● Upon termination, your right to use Mamaney will immediately cease.
● All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
These Terms and your use of Mamaney shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law principles.
13.2 Dispute Resolution
● Any dispute arising out of or in connection with these Terms shall be finally settled by the courts of Lithuania.
● For Consumers who are residents of EU Member States, disputes may also be submitted to the competent court of the Consumer's place of residence, in accordance with Article 18 of Regulation (EU) No 1215/2012 (Brussels I Regulation).
● Consumers may also use the European Commission's Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr/ for resolving disputes.
● Before initiating legal proceedings, users agree to attempt in good faith to resolve the dispute through negotiation.
14. MODIFICATIONS TO THE TERMS AND SERVICES
14.1 Modifications to Terms
● We reserve the right to modify these Terms at any time.
● We will notify users of any material changes by posting the new Terms on the Platform and/or by sending a notification at least 30 days before the changes take effect.
● Your continued use of Mamaney after any changes to these Terms constitutes your acceptance of such changes.
● For Consumers, if you do not agree with the modified Terms, you have the right to terminate the agreement without penalty before the changes take effect.
14.2 Modifications to Services
● We reserve the right to withdraw or modify Mamaney and any service or material we provide, in our sole discretion with reasonable notice.
● We will not be liable if, for any reason, all or any part of Mamaney is unavailable at any time or for any period.
● For services already paid for by Consumers, we will provide reasonable notice of any material changes and offer a refund if the changes significantly alter the nature of the service.
15. CONSUMER RIGHTS
15.1 Consumer Protection
● If you are using Mamaney as a Consumer (as defined in Section 2), you have additional rights under the consumer protection laws of the European Union and the Republic of Lithuania, including but not limited to the Law on Consumer Protection of the Republic of Lithuania and Directive 2011/83/EU.
● Nothing in these Terms shall affect your statutory rights as a Consumer.
15.2 Right of Withdrawal
● As a Consumer, you have the right to withdraw from this contract within 14 days without giving any reason, in accordance with Articles 9-16 of Directive 2011/83/EU.
● The withdrawal period will expire after 14 days from the day of the conclusion of the contract.
● To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., a letter sent by post or email).
● This right of withdrawal does not apply to services that have been fully performed or where performance has begun with your explicit consent and acknowledgment that the right of withdrawal would be lost.
16. MISCELLANEOUS
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mamaney regarding your use of the Platform, in accordance with Article 6.183 of the Civil Code of the Republic of Lithuania.
16.2 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.3 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, in accordance with Article 6.188 of the Civil Code of the Republic of Lithuania.
16.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms without your consent to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
16.5 Language
These Terms are prepared in English. Translations into other languages may be provided for your convenience. In case of any discrepancy, the English version shall prevail.
